Axiom provides analytics and signals only. We never execute trades, hold custody, or manage assets.

No Investment Advice

Axiom is not a registered investment advisor, broker-dealer, or fiduciary. All content is informational only.

1. Acceptance of Terms

By accessing, browsing, or using the Axiom platform (the "Service"), including all associated websites, applications, APIs, dashboards, and analytical tools, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.

These Terms constitute a legally binding agreement between you and Axiom Artificial Intelligence Technologies ("Axiom," "we," "us," or "our"). If you do not agree to these Terms in their entirety, you must immediately cease all use of the Service.

The Axiom Service is intended exclusively for institutional users, professional traders, quantitative analysts, and their authorized representatives. By using the Service, you represent and warrant that you meet the eligibility criteria set forth in Section 3 below.

2. Service Scope & Description

Axiom provides institutional-grade AI-powered trading analytics, signal intelligence, risk assessment dashboards, and quantitative research tools (collectively, the "Analytics"). The Service is designed to deliver data-driven insights, pattern recognition, regime analysis, and performance attribution metrics to support informed decision-making by professional market participants.

Critical Service Limitations

  • Axiom does NOT offer trade execution, order routing, or transaction settlement services.
  • Axiom does NOT provide investment advice, portfolio management, or fiduciary services.
  • Axiom does NOT take custody of user assets, client funds, or securities.
  • Axiom is NOT a broker-dealer, registered investment advisor, commodity trading advisor, or financial institution.

All trading, execution, custody, and account management activities occur exclusively through your selected external regulated broker(s). Axiom operates solely as a SaaS analytics platform providing informational and analytical tools.

3. User Eligibility & Institutional Representation

To use the Axiom Service, you must meet all of the following eligibility requirements:

  • You are at least 18 years of age (or the age of majority in your jurisdiction).
  • You possess the legal capacity to enter into binding contracts.
  • You are a professional trader, institutional investor, quantitative analyst, portfolio manager, or an authorized representative acting on behalf of such an entity.
  • If accessing the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
  • You are not located in, or a resident of, any jurisdiction where the Service is prohibited or restricted by law.

The Axiom Service is NOT intended for retail consumers, minors, or unauthorized users. Axiom reserves the right to verify your professional status and institutional affiliation at any time and to terminate access if eligibility criteria are not met.

4. Non-Custodial, Analytics-Only Model

Axiom operates under a strictly non-custodial, analytics-only business model.

This means that Axiom:

  • Does NOT hold, custody, control, or have access to your assets, funds, securities, or trading accounts.
  • Does NOT execute, place, modify, or cancel trades on your behalf.
  • Does NOT have the ability to withdraw, transfer, or move your funds.
  • Provides only read-only analytics, signals, and informational dashboards.

All trading execution, account management, custody, compliance, and regulatory reporting obligations remain exclusively with your selected external regulated broker(s). You retain full and sole control over all trading decisions and account activities.

Axiom's Analytics are provided for informational purposes only and do not constitute orders, instructions, or directives to trade. You are solely responsible for evaluating, interpreting, and acting upon any information provided by the Service.

5. External Broker Integrations

The Axiom Service may integrate with external broker platforms via secure APIs to provide enhanced analytics, real-time data feeds, and performance tracking. These integrations are optional and subject to your explicit consent.

Broker Relationship & Liability

  • Your relationship with any external broker is governed solely by that broker's terms of service, privacy policy, and regulatory agreements.
  • Axiom is not responsible for the actions, services, fees, policies, or conduct of any external broker.
  • Axiom does not endorse, recommend, or guarantee the suitability, reliability, or compliance of any third-party broker platform.
  • You are solely responsible for maintaining your broker account in good standing, ensuring KYC/KYB compliance, and meeting all broker requirements.

Axiom integrates only with regulated broker-dealers registered with appropriate authorities (e.g., SEC, FCA, ASIC). However, Axiom makes no representations or warranties regarding the regulatory status, financial condition, or operational reliability of any external broker.

You acknowledge and agree that Axiom is not liable for any losses, damages, delays, interruptions, or disputes arising from your use of external broker services, API connectivity issues, or broker-related compliance failures.

6. Account Registration & Security

To access the full Axiom Service, you must create a user account and provide accurate, complete, and current registration information. You agree to:

  • Maintain the confidentiality of your account credentials (username, password, API keys).
  • Enable multi-factor authentication (MFA/2FA) when available.
  • Immediately notify Axiom of any unauthorized access, suspected security breach, or compromise of your account.
  • Accept full responsibility for all activities conducted under your account, whether authorized or unauthorized.
  • Ensure that your contact information (email, phone) remains current and accessible.

Axiom reserves the right to suspend or terminate accounts that are inactive, breach these Terms, or pose a security risk. You may not transfer, sell, or share your account credentials with any third party.

7. Permitted Use & Prohibited Activities

Permitted Uses

You may use the Axiom Service solely for:

  • Internal analytics, research, and decision-support purposes.
  • Quantitative modeling, backtesting, and performance attribution analysis.
  • Risk assessment, regime detection, and portfolio monitoring.
  • Compliance monitoring and audit trail review (where applicable).

Prohibited Activities

You expressly agree NOT to:

  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service.
  • Scrape, harvest, or extract data from the Service using automated tools, bots, or scripts without explicit written authorization.
  • Redistribute, resell, sublicense, or commercially exploit Axiom Analytics or any derivative works.
  • Use the Service for any unlawful, fraudulent, or malicious purpose.
  • Interfere with, disrupt, or attempt to gain unauthorized access to Axiom's servers, networks, or infrastructure.
  • Transmit viruses, malware, or any code designed to harm or compromise the Service.
  • Misrepresent your identity, affiliation, or authorization to use the Service.
  • Use the Service in any manner that violates applicable securities laws, financial regulations, or data protection statutes.

Violation of these restrictions may result in immediate termination of your access and potential legal action.

8. No Investment Advice

Critical Legal Disclaimer

Axiom is NOT a registered investment advisor, broker-dealer, commodity trading advisor, fiduciary, financial planner, or portfolio manager.

The Service does not provide, and should not be construed as providing, investment advice, financial planning, tax guidance, legal counsel, or recommendations to buy, sell, or hold any security, commodity, or financial instrument.

All Analytics, signals, dashboards, reports, and communications provided through the Service are:

  • Provided for informational and educational purposes only.
  • Not tailored to your individual financial circumstances, risk tolerance, or investment objectives.
  • Not a solicitation, offer, or recommendation to engage in any particular trading strategy.
  • Not a guarantee of future performance, profitability, or success.

You are solely responsible for evaluating the risks and merits of any trading decision. Axiom strongly recommends that you consult with qualified financial, legal, and tax professionals before making any investment or trading decisions.

Axiom does not act in a fiduciary capacity and owes no duty of care, loyalty, or suitability to any user. By using the Service, you acknowledge that you are an experienced, sophisticated market participant capable of making independent investment decisions.

9. Performance, Hypotheticals & Disclaimer

HYPOTHETICAL OR SIMULATED PERFORMANCE RESULTS HAVE CERTAIN INHERENT LIMITATIONS.

Any performance metrics, statistics, backtests, simulations, or testimonials displayed within the Service:

  • Are based on historical data and do not represent actual trading results or live account performance.
  • Do not account for market impact, slippage, execution delays, liquidity constraints, or real-world trading costs.
  • May reflect "look-ahead bias," "survivorship bias," or other data imperfections inherent in backtesting methodologies.
  • Are NOT indicative of future results, and actual trading performance may differ materially.

PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.

Trading and investing in financial markets involves substantial risk of loss. You may lose some or all of your invested capital. No signal, model, or analytical tool can eliminate risk or guarantee profitability.

Axiom makes no representations or warranties regarding the accuracy, completeness, reliability, or timeliness of any Analytics. All information is provided "as is" without warranty of any kind, express or implied.

10. Intellectual Property

All intellectual property rights in and to the Service, including but not limited to software, algorithms, models, user interfaces, dashboards, data visualizations, trademarks, logos, and proprietary methodologies (collectively, the "Axiom IP"), are owned exclusively by Axiom or its licensors.

License Grant

Subject to your compliance with these Terms, Axiom grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes as an authorized user.

Restrictions

  • You may not copy, modify, distribute, sell, lease, or create derivative works based on the Axiom IP.
  • You may not remove, alter, or obscure any proprietary notices, trademarks, or copyright designations.
  • You may not reverse engineer, decompile, or attempt to extract underlying algorithms or models.
  • All rights not expressly granted herein are reserved by Axiom.

Unauthorized use of the Axiom IP may result in immediate termination of your license and may subject you to civil and criminal liability.

11. Privacy, Data Usage & Model Training

Axiom is committed to protecting your privacy and handling your data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA). Please review our Privacy Policy for detailed information on how we collect, use, and protect your personal information.

Data Collection & Processing

In the course of providing the Service, Axiom collects and processes various types of data, including:

  • Account Data: Registration information, contact details, institutional affiliations.
  • Usage Data: Log files, interaction patterns, feature utilization, session analytics.
  • Performance Data: Analytics engagement, signal performance attribution, dashboard views.
  • Technical Data: IP addresses, device identifiers, browser types, API call logs.

Data Usage for AI/ML Model Training & Commercial Analytics

By using the Axiom Service, you expressly grant Axiom a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to access, store, process, analyze, and use de-identified and/or aggregated user data for the following business purposes:

  1. a)AI/ML Model Improvement: Training, refining, validating, and enhancing our artificial intelligence and machine learning models, algorithms, and predictive systems to improve signal accuracy, pattern recognition, regime detection, and overall Service quality.
  2. b)System Performance & Research: Conducting statistical research, performance evaluation, A/B testing, feature optimization, and infrastructure scaling to ensure platform reliability and effectiveness.
  3. c)Commercial Analytics & Insights: Generating, analyzing, and offering anonymized, aggregated market trend reports, industry benchmarks, behavioral analytics, or statistical insights to our network, institutional clients, research partners, or third-party subscribers.
  4. d)Security & Compliance: Detecting fraud, preventing abuse, ensuring system security, and fulfilling legal, regulatory, audit, or contractual obligations.

Data Anonymization & Privacy Safeguards

Axiom is committed to protecting your privacy and institutional confidentiality:

  • No Personal Data Sales: Axiom will never sell, rent, or disclose your personal information or institution-identifiable data to third parties for their independent marketing purposes.
  • Aggregation & De-identification: Data used for commercial analytics or model training is aggregated across multiple users and stripped of all personally identifiable information (PII), institutional identifiers, proprietary trading strategies, and compliance-sensitive details.
  • Security Standards: All data processing is conducted in accordance with SOC 2, ISO 27001 standards (design in progress), and enterprise-grade encryption protocols (AES-256, TLS 1.3+).
  • User Rights: Subject to applicable law (GDPR, CCPA), you may request a data usage report, exercise opt-out rights for certain commercial analytics, or request deletion of personal data (where technically feasible and legally permissible).

Opt-Out & Data Subject Rights

If you wish to opt-out of having your de-identified data used for commercial analytics (where permitted by law), or to exercise your data subject rights under GDPR/CCPA (access, rectification, deletion, portability), please contact us at privacy@axiom-ai.online with the subject line "Data Rights Request."

Please note that opting out of certain data processing activities may limit the functionality or quality of the Service, as our AI/ML models rely on aggregated usage patterns to deliver optimal performance.

By continuing to use the Service, you acknowledge and consent to the data usage practices described in this Section 11 and our Privacy Policy.

12. Compliance, Law & Audits

Axiom is committed to maintaining the highest standards of legal compliance, data protection, and regulatory transparency.

Regulatory Compliance

  • Axiom complies with applicable data protection laws, including GDPR (EU) and CCPA (California).
  • Axiom is pursuing SOC 2 Type II certification and ISO 27001 compliance (design in progress, target 2025).
  • Axiom does NOT provide investment advice, broker-dealer services, or regulated financial products, and is not registered with the SEC, FINRA, FCA, or equivalent regulatory bodies as a financial services provider.

User Compliance Obligations

You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and professional standards in your jurisdiction, including but not limited to:

  • Securities laws and financial regulations (e.g., insider trading prohibitions, market manipulation rules).
  • Anti-money laundering (AML) and know-your-customer (KYC) requirements.
  • Data protection and privacy laws.
  • Professional licensing and fiduciary duty requirements (if applicable).

Axiom does NOT provide legal, tax, regulatory, or compliance advice. You are responsible for consulting with qualified professionals regarding your regulatory obligations.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXIOM AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

  • Direct, indirect, incidental, special, consequential, exemplary, or punitive damages.
  • Loss of profits, revenue, data, goodwill, or business opportunities.
  • Trading losses, investment losses, or financial damages of any kind.
  • Damages arising from errors, omissions, inaccuracies, delays, or interruptions in the Service.
  • Damages arising from third-party services, broker integrations, or external platform failures.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT.

IN NO EVENT SHALL AXIOM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO AXIOM IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the above limitations may not apply to you, and Axiom's liability shall be limited to the fullest extent permitted by applicable law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Axiom, its affiliates, and their respective officers, directors, employees, agents, contractors, and licensors (collectively, the "Axiom Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of any third-party rights, including intellectual property, privacy, or contractual rights.
  • Any trading, investment, or financial losses incurred as a result of actions you took based on Analytics provided by the Service.
  • Any regulatory enforcement actions, compliance violations, or penalties arising from your use of the Service.

Axiom reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully with Axiom's defense.

15. Modifications & Termination

Modifications to Terms

Axiom reserves the right to modify, amend, or update these Terms at any time at its sole discretion. We will provide notice of material changes by:

  • Posting the updated Terms on this page with a revised "Last Updated" date.
  • Sending an email notification to your registered email address (for material changes affecting your rights).
  • Displaying an in-app notification upon your next login.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must immediately discontinue use of the Service.

Termination

By You: You may terminate your account at any time by contacting Axiom support or using the account closure feature within the Service. Termination does not relieve you of any payment obligations for services already rendered.

By Axiom: Axiom reserves the right to suspend or terminate your access to the Service, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any applicable law.
  • Suspected fraudulent, abusive, or unauthorized activity.
  • Non-payment of fees or chargebacks.
  • Extended account inactivity.
  • Discontinuation or material modification of the Service.

Upon termination, your license to use the Service immediately ceases, and you must cease all use of the Axiom IP. Sections of these Terms that by their nature should survive termination (including but not limited to Sections 10, 11, 13, 14, and 16) shall remain in full force and effect.

16. Governing Law & Disputes

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall be resolved as follows:

  1. 1.Informal Negotiation: The parties agree to first attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days.
  2. 2.Binding Arbitration: If informal negotiation fails, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware (or remotely, if mutually agreed). The arbitrator's decision shall be final and binding.
  3. 3.Exclusive Jurisdiction: To the extent arbitration is not applicable or enforceable, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

18. Definitions & Interpretation

For purposes of these Terms, the following definitions apply:

Analytics-Only
A business model in which Axiom provides only analytical tools, signals, and informational dashboards, without offering trade execution, custody, or investment management services.
Non-Custodial
A service model in which Axiom does not hold, control, or have access to user assets, funds, or trading accounts. All custody remains with external regulated brokers.
Regulated Broker
A broker-dealer, futures commission merchant, or similar financial intermediary that is duly registered and regulated by a recognized financial regulatory authority (e.g., SEC, FINRA, FCA, ASIC).
De-identified Data
Data that has been processed to remove or obscure personally identifiable information (PII), institutional identifiers, and other sensitive details, rendering it non-attributable to any specific individual or entity.
Aggregated Data
Data that has been combined from multiple sources or users to produce summary statistics, trends, or benchmarks that do not reveal individual-level information.
Hypothetical Performance
Simulated or backtested trading results based on historical data, which do not represent actual trading outcomes and may not account for market impact, slippage, or real-world execution constraints.
Service
The Axiom platform, including all websites, applications, APIs, dashboards, analytics, algorithms, and related tools and services provided by Axiom.
User / You
Any individual or entity that accesses or uses the Axiom Service, whether as a registered account holder, institutional representative, or authorized agent.

Important Legal Summary

  • Axiom is an analytics-only SaaS platform. We do not execute trades, hold custody, or manage assets.
  • Axiom is not a registered investment advisor, broker-dealer, or fiduciary. All content is informational only.
  • All trading and custody remain with your selected external regulated broker.
